Welcome to ClipWish!
These Terms of Use govern your access to and use of the ClipWish mobile application, website, and related services operated by ClipWish LLC ("ClipWish," "we," "us," or "our").
1. Description of the Services#
ClipWish is an AI-powered application that allows users to upload content, customize inputs, and generate personalized videos.
2. Eligibility#
You must be at least 13 years old, or the minimum age required in your jurisdiction, to use the Services. If you are under the age of majority where you live, you may use the Services only with the involvement and permission of a parent or legal guardian.
3. User Content and Limited License#
You retain ownership of the content you upload, submit, create, or store through the Services ("User Content"). By uploading or submitting User Content, you grant ClipWish a limited, non-exclusive, revocable, worldwide license to host, copy, process, transmit, display, modify, and use that User Content solely as necessary to operate, secure, maintain, and provide the Services to you, including through service providers acting on our behalf.
4. Your Responsibilities and Required Rights#
You are solely responsible for User Content and for your use of the Services. You represent and warrant that you have all rights, licenses, permissions, and consents necessary to upload, generate, edit, use, and share the content you provide through ClipWish, including any rights or consents relating to names, photographs, videos, voices, likenesses, copyrighted works, trademarks, or other personal information of third parties.
5. Prohibited Uses#
You may not use the Services to: (a) violate any law or the rights of any person or entity; (b) upload or generate unlawful, infringing, defamatory, abusive, fraudulent, hateful, sexually explicit, or otherwise objectionable content; (c) impersonate another person or falsely suggest sponsorship or endorsement; (d) interfere with or disrupt the Services; (e) attempt to reverse engineer, scrape, extract, or misuse the Services or underlying models except as permitted by applicable law; or (f) use the Services in a way that could expose ClipWish or other users to harm, liability, or security risk.
6. AI-Generated Content#
ClipWish uses artificial intelligence tools and may rely on third-party AI or media processing providers to generate and modify outputs. AI-generated outputs may be inaccurate, incomplete, offensive, unavailable, or similar or identical to outputs generated for other users. You are responsible for reviewing any outputs before using, publishing, relying on, or sharing them, and for determining whether the outputs are suitable for your intended purpose.
Your use of these AI-powered features is also subject to our Privacy Policy, which explains how content may be processed by us and by third-party providers.
7. Subscriptions and Payments#
Certain features require paid subscriptions or in-app purchases. Billing, renewals, cancellations, refunds, and payment processing are handled by the Apple App Store or Google Play, as applicable, and are subject to those platforms' terms, billing policies, and refund rules. If a subscription renews automatically, it will continue until you cancel it through the relevant app store account settings. We may change pricing or available plans from time to time to the extent permitted by applicable law and platform rules.
7.1 Credits#
- The Services may include virtual credits, coins, tokens, or similar units ("Credits") that may be provided through subscriptions, promotions, referrals, or one-time purchases.
- Credits may be required to generate videos or access certain features of the Services.
- Credits provided as part of a subscription ("Subscription Credits") expire at the end of the applicable billing period unless otherwise stated.
- Credits purchased separately ("Purchased Credits") do not expire unless otherwise stated at the time of purchase or required by applicable law.
- If both Subscription Credits and Purchased Credits are available, Subscription Credits will generally be used before Purchased Credits unless otherwise stated.
- If your subscription is cancelled, you may continue to use any remaining Subscription Credits until the end of the then-current billing period, after which unused Subscription Credits will expire.
- Credit amounts, generation costs, eligibility rules, promotional grants, and the availability of Credits may change from time to time.
- Credits have no cash value, are non-transferable, and are non-refundable except where required by applicable law.
8. Intellectual Property#
The Services, including the software, branding, templates, design elements, and related materials, are owned by ClipWish LLC or its licensors and are protected by applicable intellectual property laws. Except for the limited right to use the Services under these Terms, no rights are granted to you.
9. App Store Terms#
Your use of the App must comply with applicable Apple App Store and Google Play requirements. You acknowledge that Apple and Google are not responsible for providing the Services and that each platform's terms may impose additional rules on your use of the App.
10. Privacy#
Your use of ClipWish is also governed by our Privacy Policy.
11. Disclaimer of Warranties#
The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, or that the Services will be uninterrupted, error-free, or secure.
12. Limitation of Liability#
To the maximum extent permitted by law, ClipWish and its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or related to the Services or these Terms.
13. Indemnification#
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless ClipWish LLC and its affiliates, officers, directors, employees, agents, and licensors from and against claims, liabilities, damages, losses, and expenses arising out of or related to your User Content, your misuse of the Services, or your violation of these Terms or applicable law.
14. Termination#
We may suspend, restrict, or terminate your access to the Services if we believe you have violated these Terms, created risk or possible legal exposure for ClipWish, or if we discontinue the Services.
15. Changes to the Services or Terms#
We may update these Terms from time to time. The updated Terms will be effective when posted, unless otherwise stated. Your continued use of the Services after the updated Terms become effective constitutes acceptance of the updated Terms.
16. Support and Informal Resolution#
If you have any questions, problems, concerns, or disputes relating to the Services, please contact us first at support@clipwish.org. We will try in good faith to review the issue and work toward an informal resolution before either side starts formal legal proceedings, to the extent permitted by law.
17. Governing Law and Venue#
These Terms are governed by the laws of the State of Illinois, United States, without regard to conflict-of-law principles. Unless applicable law requires otherwise, any dispute arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Illinois, and you consent to that jurisdiction and venue.
